Guy WhitesmanGuy Whitesman is an active member and the past chair of the Tax Section of The Florida Bar. He is Board Certified in Tax Law and is a past chairman of Tax Law Certification Committee which oversees the board certification process. Guy is also chair of Henderson Franklin’s Mergers & Acquisitions, Business Organizations & Planning, Tax, and Intellectual Property practice areas. He concentrates his practice in mergers and acquisitions, business organization operations and planning, taxation, estate planning and health care law.

Guy frequently writes and speaks on issues regarding taxation, business, and estate planning to members of the public, as well as to accountants and attorneys through Florida Bar sponsored continuing legal education courses.

For nine consecutive years (2006-2014), Guy has been honored by Florida Super Lawyers® magazine and was also named as one of Florida Trend Magazine‘s Legal Elite (2011). Robert FormanRobert S. Forman concentrates his practice in the areas of retirement plans, personal service organizations, acquisitions and mergers, corporate law, partnership law, limited liability company law, taxation and business planning.

Bob has extensive experience in the design and drafting of retirement plan documents, counseling of clients regarding the ongoing administration of retirement plans, and the handling of Internal Revenue Service and Department of Labor audits and corrective action filings.

In the business and transactional areas, Bob has prepared and negotiated a broad range of documents and transactions including, asset purchase, stock purchase, shareholders’ employment, independent contractor and consulting agreement matters.

Erin Houck TollErin Houck-Toll is a Florida Bar Board Certified Tax lawyer. She concentrates her practice in the areas of federal and state taxation, including representing taxpayers before the IRS and Florida Department of Revenue. Erin also assists clients in many aspects of business planning, health care lawmatters, mergers and acquisitions, and intellectual propertyissues. She also represents nonprofits and tax exempt organizations in various matters, including assisting in initial organization and obtaining tax exempt status. Erin is admitted to practice in the State of Florida and before the United States Tax Court.

In law school, Erin served on the Environmental Law Journaland was granted a certificate in environmental law. She also served as a volunteer for the Earth Justice Defense Fund,doing independent legal research regarding environmental and land use matters.

Mark NiedsMark A. Nieds concentrates his practice on Intellectual Property and Internet matters with specific emphasis on trademark, copyright, and trade secret protection. For over twenty years he has advised clients on domestic and international IP issues, including such matters as corporate rebranding projects, new product launches, acquisitions and licensing. He has extensive experience with U.S. and International trademark matters, from selection and clearance of marks through registration, licensing and enforcement of rights. While representing clients in both the Federal Courts and the Trademark Trial and Appeal Board, Mark has also gained significant IP and trademark litigation skills and has also represented parties before the USPTO and has helped secure registration of hundreds of trademarks over the years.

Mark also has extensive experience in International Intellectual Property matters, including registration of rights, licensing, enforcement of rights and anti-counterfeiting. Working closely with clients, Mark can help develop strategies to protect and exploit Intellectual Property globally in response to changing economic realities and the impact of the Internet.

In addition to Intellectual Property, Mark’s practice also encompasses Internet-related legal issues. He has assisted clients with the creation and implementation of privacy policies, terms of use agreements, user agreements and DMCA compliance. He has also been involved in domain name litigation and cybersquatting matters and helped develop domain registration strategies for clients. Commencing his practice during the infancy of the Internet and advising clients on these ever-changing issues over the years, he has a unique perspective on the impact of the internet on business and assists clients to navigate these still murky waters.

Mark is also involved in Copyright registration and licensing, developing trade secret protection strategies, non-disclosure agreements and non-compete agreements, marketing and ad-review and IP due diligence review.

He earned his J.D., with honors, from Chicago-Kent College of Law. He has a B.A. from Miami University, Oxford, Ohio. He is a member of the Illinois Bar (1994) and Florida (2015).
